1. Overview

These Terms and Conditions (“Terms”) govern your use of the Letung Silver website at letung.net and any wholesale, custom, or OEM orders placed with us.

2. Products & Services

Letung Silver offers:

  • Wholesale sterling silver jewelry — rings, earrings, pendants, bracelets, shell & silver collections

  • Custom OEM/ODM manufacturing — design-to-production services for jewelry brands

  • Balinese handmade jewelry — traditional craftsmanship combined with modern 3D design

All products are made from 925 Sterling Silver unless otherwise specified. Product photos on our website are representative; slight variations in handmade pieces are natural and expected.



3. Wholesale Orders

a. Minimum Order Quantity (MOQ)

Wholesale orders are subject to minimum order quantities as communicated in our current wholesale catalog or upon direct inquiry. Contact us at wayan@letung.net for current MOQ details.

 

b. Pricing

All prices are quoted in USD unless otherwise agreed. Prices are subject to change without notice. Confirmed orders are invoiced at the price agreed at the time of order confirmation.

 

c. Order Confirmation

An order is confirmed only upon receipt of written confirmation from Letung Silver and payment of the required deposit.

 

d. Custom & OEM Orders

Custom and OEM orders require a design brief, approval of a sample, and a non-refundable deposit before production begins. Timeline and pricing will be agreed upon in writing prior to commencement.

 


4. Payment Terms

  • deposit (typically 50%) is required to confirm and begin production on wholesale or custom orders.

  • The remaining balance is due before shipment, unless otherwise agreed in writing.

  • Accepted payment methods include bank transfer (TT), PayPal, and other methods as mutually agreed.

  • Late payments may result in delays or cancellation of the order.


5. Shipping & Delivery

  • Orders are shipped from Bali, Indonesia via reputable international couriers (e.g., DHL, FedEx, or equivalent).

  • Estimated production and shipping timelines will be provided at the time of order confirmation.

  • The buyer is responsible for all import duties, taxes, and customs clearance fees in their country.

  • Letung Silver is not liable for delays caused by customs, force majeure, or third-party carriers.

  • Risk of loss passes to the buyer upon handover to the carrier.


6. Inspection & Acceptance

  • Buyers must inspect all goods upon receipt and report any defects, shortages, or discrepancies within 7 days of delivery.

  • Claims submitted after this period may not be accepted.

  • Photos and documentation are required for all claims.


7. Returns & Refunds

  • Due to the handmade and custom nature of our products, all confirmed wholesale and custom orders are final.

  • Returns are accepted only for items that arrive damaged or defective and are reported within the 7-day inspection window.

  • In the case of a valid defect claim, we will offer a replacement, store credit, or refund at our discretion.

  • We do not accept returns based on minor natural variations inherent to handmade jewelry.


8. Intellectual Property

  • All designs, photos, logos, and content on letung.net are the property of Letung Silver and may not be reproduced without written permission.

  • For OEM/ODM orders: designs submitted by the client remain the client’s intellectual property. Letung Silver will not reproduce client-owned designs for other parties without written consent.

  • Letung Silver retains the right to use photos of finished products for portfolio and marketing purposes unless otherwise agreed in writing.


9. Confidentiality & Non-Disclosure Agreement (NDA)

For purposes of these Terms, “Confidential Information” means any non-public information disclosed by either party in connection with a wholesale, custom, OEM, or ODM business relationship, whether disclosed verbally, in writing, electronically, visually, or through samples or prototypes.

Confidential Information may include, without limitation:

  • Client-owned designs, CAD files, drawings, sketches, specifications, prototypes, samples, product concepts, and technical information

  • Pricing, quotations, cost structures, minimum order quantities, production information, supplier information, and commercial terms

  • Business plans, product launch information, customer information, marketing strategies, and other proprietary business information

  • Any information that is reasonably understood to be confidential based on its nature or the circumstances of disclosure

Both parties agree to:

  1. Keep Confidential Information strictly confidential and use it only for the purpose of evaluating, developing, manufacturing, supplying, or otherwise performing the agreed business relationship.

  2. Not disclose Confidential Information to any third party without the prior written consent of the party that owns or disclosed the information, except to employees, contractors, or professional advisers who have a legitimate need to know and are bound by confidentiality obligations.

  3. Take reasonable measures to protect Confidential Information against unauthorized access, copying, use, or disclosure.

  4. Not reproduce, manufacture, sell, distribute, license, or otherwise exploit client-owned designs or other Confidential Information for any third party without the client’s prior written consent.

  5. Promptly notify the other party if a known unauthorized disclosure, loss, or misuse of Confidential Information occurs.

Exclusions. Confidential Information does not include information that:

  • (a) is or becomes publicly available through no breach of these Terms

  • (b) was lawfully known to the receiving party before disclosure

  • (c) is independently developed without use of the Confidential Information

  • (d) is lawfully received from a third party without a confidentiality obligation

Required Disclosure. If disclosure is required by law, court order, or governmental authority, the receiving party may disclose the minimum information legally required and, where legally permitted, will provide reasonable prior notice to the disclosing party.

Return or Destruction. Upon written request, or when the business relationship ends, each party will, where reasonably practicable, return or destroy Confidential Information belonging to the other party, except for copies that must be retained by law or for legitimate record-keeping purposes and which remain subject to confidentiality obligations.

Duration. The confidentiality obligations under this section apply during the business relationship and continue for five (5) years after the last disclosure of Confidential Information. Trade secrets and information that remains legally protected as a trade secret will remain confidential for as long as such protection applies under applicable law.

Client-Owned Designs. For OEM/ODM orders, client-owned designs remain the client’s intellectual property. Letung Silver will not reproduce or intentionally disclose such designs to other parties without the client’s written consent, consistent with Section 8 of these Terms.

Remedies. The parties acknowledge that unauthorized disclosure or misuse of Confidential Information may cause harm that may not be adequately compensated by monetary damages alone. The affected party may seek any remedies available under applicable law.

Governing Law. This Confidentiality & NDA section is subject to the governing law and dispute-resolution provisions in Section 11 of these Terms.


10. Limitation of Liability

To the maximum extent permitted by law, Letung Silver’s total liability for any claim arising from an order shall not exceed the value of that order. We are not liable for indirect, consequential, or incidental damages.


11. Governing Law

These Terms are governed by the laws of the Republic of Indonesia. Any disputes shall first be attempted to be resolved through good-faith negotiation. If unresolved, disputes shall be subject to the jurisdiction of the courts of Gianyar, Bali, Indonesia.


12. Website Use

  • You may use letung.net for lawful purposes only.

  • You may not scrape, reproduce, or commercially exploit any content from this website without written permission.

  • We reserve the right to refuse service, cancel orders, or restrict access at our discretion.


13. Changes to These Terms

We may update these Terms from time to time. Continued use of our website or placement of orders after any changes constitutes acceptance of the updated Terms.
